UTChinese Member Agreement

1. General Information

This UTChinese Member Agreement (“Agreement”) is a legally binding agreement between you (“you”, “your”) and UTChinese (“UTChinese”, “we”, “us”, “our”). By becoming our member, you accept the terms and conditions stated below.

2. Validity of Membership

The UTChinese membership shall be valid for life by default. You do not have to pay any renewal fee to retain your member status. UTChinese or you may terminate the membership relationship at any time, provided that such termination is made in writing and delivered to the other party, and no refund shall be issued. If you violate the terms of this Agreement, the membership will be terminated immediately and no refund shall be issued.

3. Card Use and Benefits

The UTChinese Me Membership Card (“Card”) is the property of UTChinese and must be returned upon request. The Card is not transferable and may not be altered. By presenting the Card, you shall be entitled to enjoy various discounts, savings or benefits offered by sponsors (“Sponsors”) who participate in our Membership Program from time to time. An up-to-date list (“List”) of current Sponsors and various discounts, savings or benefits they offer will be posted on the website of UTChinese. This List is subject to change from time to time. Although UTChinese shall exercise reasonable care in updating the List on its website, it does not warrant or represent that the List is accurate, reliable, current or complete.

4. Sponsor Disputes

UTChinese is not responsible for any Sponsor’s failure to provide you discounts, savings or benefits promised, posted or advertised by or for the Sponsor. You acknowledge that Sponsors may go out of business, sell their business, cease participation in our Membership Program, or modify or change their discounts, savings or benefits to you from time to time. UTChinese may attempt to assist you with any dispute that you might have with a Sponsor, but UTChinese will not be obligated to become involved with or to resolve any such dispute.

5. Card Loss or Stolen

If you suspect or become aware that the Card is lost or stolen, you must notify UTChinese immediately. Your lost or stolen Card will be cancelled and a new Card with a different number will be issued to you at a replacement cost of CDN $5.00.

6. Member Privacy

UTChinese uses technology and security rules, precautions, and other procedures to protect your personal data from unauthorized access, improper use, disclosure, loss or destruction. You consent to use and disclosure of your personal data by UTChinese to monitor use of our services and to develop new products or services. UTChinese may share some of your personal data in anonymous forms with our Sponsors. UTChinese may also disclose your personal data to respond to appropriate requests of legitimate government agencies or where required by applicable laws, regulations, or court orders.

7. Amendments

The terms and conditions of this Agreement shall be subject to change by UTChinese at any time and from time to time. All changes will be posted on the website of UTChinese. If you choose to continue your membership at UTChinese, you will be deemed to have accepted the changes.

8. Severability

In the event that any provision of this Agreement is deemed illegal or unenforceable by a court of competent jurisdiction, such illegal or unenforceable provision shall be deemed stricken from this Agreement without affecting the remainder hereof, and the remainder of this Agreement shall be in full force and effect.

9. Limitated Liability

UTChinese shall not be liable for any product or service provided by or through any Sponsor, or for any error, omission or inaccuracy in advertising material or for any liability resulting directly or indirectly, in whole or in part, from any product or service provided by any Sponsor or any other third party in connection with the Card or participation in the UTChinese Membership Program. Furthermore, UTChinese shall not be liable for any damage associated with your membership at UTChinese, the Card or this Agreement, and the maximum liability of UTChinese for any breach of this Agreement shall be limited to the actual price paid by you for becoming our member.
